TERMS OF SERVICE

1. AGREEMENT TO TERMS

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you") and Ugamy Technologies, Inc. ("Ugamy," "we," "us," or "our"), governing your access to and use of the Ugamy.io website, mobile applications, tutorials, digital content, and related services (collectively, the "Platform" or "Services").

By accessing or using the Platform, you affirm that you have read, understood, and agreed to be bound by these Terms.

If you do not agree, you must not access or use the Platform.

If you are using the Platform on behalf of a company or organization, you represent that you have the authority to bind that entity to these Terms.

2. ELIGIBILITY

You must be at least 13 years old to use the Platform.

If you are under 18, you may use the Platform only with the consent and supervision of a parent or legal guardian.

By using the Platform, you represent and warrant that:

• You meet the age requirements;
• You are not barred from using the Services under applicable law;
• All information you provide is true and accurate.

3. ACCOUNT REGISTRATION & SECURITY

To access certain features, you may be required to create an account. You agree to:

• Provide accurate and complete information
• Maintain the confidentiality of your login credentials
• Immediately notify us of any unauthorized use or security breach
• Assume full responsibility for all activity under your account

Ugamy reserves the right to suspend or terminate accounts for violations of these Terms.

4. LICENSE TO USE THE PLATFORM

Subject to compliance with these Terms, Ugamy grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for personal, non-commercial, educational purposes only.

You agree not to:

• Copy, distribute, or modify the Platform or its content
• Reverse engineer or attempt to gain unauthorized access
• Interfere with security or functionality
• Use bots, scripts, scrapers, or automated tools
• Use the Services for any unlawful or harmful purpose

5. INTELLECTUAL PROPERTY RIGHTS

5.1 Ugamy Content

All tutorials, videos, text, artwork, graphics, code, design elements, and other materials on the Platform ("Ugamy Content") are owned by Ugamy and protected under Nigerian copyright law, and international IP treaties.

You may not reproduce, display, transmit, or distribute Ugamy Content except as expressly permitted under these Terms.

5.2 Game Trademarks and Assets

Game titles, logos, assets, and characters appearing on the Platform belong to their respective publishers.

Ugamy is not affiliated with, endorsed by, or sponsored by any game publisher unless expressly stated.

5.3 User-Generated Content

If you post or upload content ("UGC"), you grant Ugamy a worldwide, perpetual, irrevocable, royalty-free, sublicensable license to use, display, reproduce, adapt, and distribute such UGC in connection with the operation of the Platform.

You represent that:

• You own or have rights to the UGC
• Your UGC does not infringe third-party rights
• Your UGC complies with law and these Terms

We may remove UGC at our discretion.

6. PAID SERVICES, BILLING & SUBSCRIPTIONS

6.1 Purchases

Ugamy may offer paid features, premium content, or subscriptions. By purchasing, you agree to the posted pricing and terms.

6.2 Auto-Renewal

Subscriptions automatically renew unless canceled prior to the renewal date.

You authorize Ugamy and its payment processors to charge your payment method on a recurring basis.

6.3 Refund Policy

Except where required by law:

• Digital content is non-refundable once accessed
• Subscription fees are non-refundable after billing
• Duplicate or erroneous charges may be refunded upon request

7. PROHIBITED CONDUCT

You may not use the Platform to:

• Harass, abuse, threaten, or harm others
• Upload malware, spyware, or harmful code
• Promote cheating, hacking, or game exploits
• Violate third-party intellectual property rights
• Engage in fraudulent or deceptive behavior
• Circumvent payment systems or access controls

Ugamy may suspend or terminate accounts for violations.

8. PRIVACY

Your use of the Platform is also governed by our Privacy Policy.

By using the Services, you consent to the collection, use, and processing of your information as described therein.

9. DISCLAIMERS

To the maximum extent permitted by Nigerian law:

9.1 "As-Is" Service

The Platform is provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, including:

• Accuracy of tutorials
• Reliability or availability
• Compatibility
• Fitness for a particular purpose

9.2 Gaming Outcomes

Ugamy does not guarantee:

• Improvement in game performance
• Esports placement or ranking
• Prevention of game publisher penalties or bans

Use of tutorials is at your own risk.

10. LIMITATION OF LIABILITY

To the fullest extent permitted by law, Ugamy shall not be liable for:

• Indirect, incidental, special, punitive, or consequential damages
• Lost profits or data
• Service interruptions
• User errors or game account penalties

Ugamy's total liability shall not exceed the greater of USD$100 or the amount paid by you in the past 12 months.

11. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless Ugamy and its officers, directors, employees, affiliates, and agents from any claims, damages, losses, liabilities, and expenses arising from:

• Your use of the Platform
• Your violation of these Terms
• Your UGC
• Your violation of third-party rights

12. TERMINATION

Ugamy may terminate or suspend your account or access immediately, without notice, if you:

• Violate these Terms
• Engage in illegal or fraudulent conduct
• Harm other users or the Platform

You may terminate your account by contacting support.

Upon termination, all licenses granted to you shall cease immediately.

13. GOVERNING LAW

These Terms and any disputes shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria without regard to conflict-of-law principles.

14. ARBITRATION AGREEMENT & CLASS ACTION WAIVER

14.1 Agreement to Arbitrate

Any dispute, claim, or controversy arising out of or relating to these Terms or the Platform shall be resolved by binding arbitration administered by the Chartered Institute of Arbitrators, Nigeria Branch.

14.2 Waiver of Class Actions

You agree that:

• All claims must be brought in an individual capacity
• No class, collective, or representative actions are permitted

14.3 Exclusions

Either party may seek:

• Injunctive relief for IP infringement
• Claims within the jurisdiction of small claims court

15. ELECTRONIC COMMUNICATIONS

By using the Platform, you consent to receive electronic communications from Ugamy, including notices, disclosures, updates, and promotional messages (with opt-out).

16. CHANGES TO TERMS

Ugamy may modify these Terms at any time.

Revisions become effective when posted on the Platform with a new "Last Updated" date.

Continued use constitutes acceptance of the revised Terms.

17. SEVERABILITY

If any provision of these Terms is found unenforceable, the remaining provisions shall remain in full force and effect.

18. ENTIRE AGREEMENT

These Terms, together with the Privacy Policy, Cookie Policy, and other posted guidelines, constitute the entire agreement between you and Ugamy relating to the Platform.
